Welcome to Robincrest. These Terms of Service ("Terms") govern your access to and use of the services provided by Robincrest ("we," "us," or "our") through our website at robincrest.net and any related engagements. By using our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing our website, engaging our services, or entering into a service agreement with Robincrest, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree with any part of these Terms, you should not use our services.
2. Services Description
Robincrest provides professional digital marketing services, including but not limited to:
- Digital marketing strategy and campaign management
- Search engine optimization (SEO), including technical audits, on-page optimization, and link building
- Press release writing, distribution, and media outreach
- Content creation, analytics, and brand reputation management
The specific scope, deliverables, and timelines for each engagement will be outlined in an individual service agreement or proposal provided to you prior to the commencement of work.
3. Client Responsibilities
To enable us to deliver our services effectively, you agree to:
- Provide accurate and complete information, materials, and access necessary for the performance of our services
- Review and respond to deliverables, questions, and requests in a timely manner
- Ensure that all content, materials, and information you provide do not infringe upon the intellectual property rights of any third party
- Maintain the confidentiality of any account credentials or access you share with us
- Comply with all applicable laws and regulations in connection with your use of our services
Delays caused by your failure to meet these responsibilities may affect project timelines and deliverables. Robincrest is not liable for any delays or shortcomings resulting from incomplete or late client input.
4. Payment Terms
All pricing is based on custom quotes tailored to your specific project scope and requirements. A detailed proposal outlining fees, deliverables, and payment schedule will be provided before any work begins.
- Invoices are issued in accordance with the schedule outlined in your service agreement
- Payment is due within 15 days of the invoice date unless otherwise agreed upon in writing
- We accept payment via bank transfer, credit card, or other methods specified in your agreement
- Late payments may be subject to a fee of 1.5% per month on any outstanding balance
- Robincrest reserves the right to pause or suspend services if payment is overdue by more than 30 days
5. Intellectual Property
Upon full payment for the applicable services, you will own all final deliverables created specifically for you, including marketing copy, optimized content, and press releases. Robincrest retains ownership of all proprietary tools, methodologies, frameworks, templates, and processes used in the delivery of services.
We reserve the right to use general knowledge, techniques, and experience gained during the engagement for other clients. Unless otherwise agreed in writing, Robincrest may reference the work performed and your company name in our portfolio and marketing materials.
6. Limitation of Liability
Robincrest will perform all services with reasonable care and professional skill. However, we do not guarantee specific results such as search engine rankings, traffic volumes, or media placements, as these depend on factors outside our control, including search engine algorithms, market conditions, and third-party editorial decisions.
To the maximum extent permitted by law, Robincrest shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to these Terms or the use of our services. Our total liability for any claim arising from our services shall not exceed the total fees paid by you to Robincrest in the six months preceding the claim.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement, including business strategies, analytics data, financial information, and trade secrets. This obligation of confidentiality will survive the termination of the service agreement for a period of two years.
Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from a third party without restriction.
8. Termination
All Robincrest service agreements operate on a month-to-month basis unless otherwise specified. Either party may terminate the engagement at any time by providing 30 days' written notice to the other party.
- Upon termination, you are responsible for payment of all services rendered through the effective date of termination
- Any work in progress at the time of termination will be delivered in its current state
- Robincrest will provide reasonable assistance in transitioning services to you or a third party upon request
- Termination does not affect the obligations of either party that have accrued prior to the termination date, including payment obligations and confidentiality
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute shall be submitted to binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.
10. Changes to Terms
Robincrest reserves the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms on our website with a revised "Last updated" date. We encourage you to review these Terms periodically. Your continued use of our services following any changes constitutes acceptance of the updated Terms. For active clients, we will make reasonable efforts to notify you of material changes via email.
